Santiago – Following the analysis of the corporate reorganization plan intended to separate the electricity generation and distribution activities in Chile, Enel announced that the boards of Chilean subsidiaries Enersis, Endesa Chile and Chilectra expressed that this reorganization be accomplished by the following corporate actions: the partial scission of Endesa Chile and Chilectra, by assigning all their assets and liabilities held in other Latin American countries (other than Chile) in favor of two newly formed companies, called, respectively, “Endesa Americas” and “Chilectra Americas”; the partial scission of Enersis, by assigning all of its assets and liabilities held in Chile (including stakes in Endesa Chile and Chilectra) in favor of a newly formed company called “Enersis Chile”. This split will be accompanied by Enersis’ change of name into “Enersis Americas”, a company that will own all assets and liabilities held in other Latin American countries (including holdings in the newly established listed companies Endesa Americas and Chilectra Americas). These operations will be accompanied by the merger of Endesa Americas and Chilectra Americas into Enersis Americas. Once the merger operation is complete, Enersis Americas will hold all shares held by Enersis in all Latin American countries other than Chile. Enersis Chile and Enersis Americas will be based in Chile and their shares will be listed on the same markets in which Enersis shares are currently listed. No operation will result in the intake of new cash contributions by the shareholders of the companies involved. (9Colonne)
