Santiago – Enel informs that the boards of directors of the Chilean subsidiaries Enersis, Endesa Chile and Chilectra resolved with the respective companies to adopt the corporate reorganization plan designed to separate the electricity generation and distribution activities in Chile from those in other Latin American countries. This reorganization, whose structure was shared by the same board of directors in a meeting last July 27, is expected to be accomplished by these corporate transactions: a partial demerger of Endesa Chile and Chilectra, by assigning all their assets held in other Latin American countries (other than Chile) and the related liabilities in favor of two newly formed companies, called, respectively, “Endesa Americas” and “Chilectra Americas”; a partial demerger of Enersis, by assigning all of its assets held in Chile (including shareholdings in Endesa Chile and Chilectra) and related liabilities in favor of a newly formed company called “Enersis Chile”.
