Bratislava – Enel Production and the Slovak Ministry of Economy signed a Memorandum of Understanding (MoU) on the shares held by Enel Production in Slovenské elektrárne, accounting for 66% of its share capital. The agreement is part of the proposed sale transaction regarding the investment, in connection with which, as announced to the market on December 18, Enel signed a production agreement with EP Slovakia, a subsidiary of Energetický to průmyslový holding (EPH). Said production agreement provides for the first transfer, to a newly incorporated company (HoldCo), of the interest held by Enel Production in Slovenské elektrárne and the subsequent sale to EP Slovakia, in two phases, of HoldCo. In particular, the MoU disciplines: the commitment of the parties to negotiate in good faith, the arrangements for the possible increase in the participation of the Ministry in Slovenské elektrárne (currently at 34% of the share capital) following the completion of Units 3 and 4 of the Mochovce nuclear power plant and once the administrative permissions have been obtained; the parties’ commitment to make some changes to the shareholders’ agreement between Enel Production and the Ministry, to strengthen the latter’s position as a minority shareholder of Slovenské elektrárne; principles relating to the completion of units 3 and 4 of the Mochovce nuclear power plant, on which Enel Produzione will exercise, in agreement with the Ministry, the relevant powers of governance.
